Commercial Details
1. Period Of Contract
The period of contract between the Client. And Black Lion Security would be of 3 year, renewable on mutual terms & conditions.
2. Applicability of Rates
Held firm for a period of one year subject to no changes in minimum wages, after which the terms & conditions will remain the same but rates will be revised. Yearly Rate Revision will be applicable. The prices will be reviewed automatically though upon minimum wages changes & DA declared by the government, difference will be paid by the Client.
3. Change Of Rates
Rates are based on the scope of work and the services offered. However in case of increase or change in scope of work the rates will be revised. The Yearly rate revision will be determined by the increase in minimum wages as per government notification and will be discussed and agreed mutually.
4. Force Majeure
During force majeure i.e. floods, riots, earthquakes, strikes etc., the contractor should provide the maximum possible services in the given circumstances. Minimum guarantee shall continue to prevail during the period of force majeure if it is fifteen days or less. If it should continue beyond fifteen days, services shall be provided on specific mutually agreeable terms and conditions, including demobilization costs.
5. Invoices
Invoices shall be raised on a monthly basis. It will be the responsibility of the client to reimburse the same by 7th of the every month for smooth distribution of salary by 10th every month. An interest at the rate of 1.5% per month will be charged on the amount of bill unpaid.
In case of delay in payment, salaries for deployed staff will not be released till the time all pending dues will be cleared by the Client.
6. Escalation
Should there be an unprecedented rise in the cost of Raw Material, Labour, or any commodities which may directly or indirectly affect the cost of services offered to the client; BLACK LION SECURITY will petition the client for a change in rates which shall be calculated on the market forces which govern it.
7. Service Charges
Service charge of 10 percent will be applicable on actual for any material / services rendered by the Service Provider, which are not included in scope of work.
8. Taxes
All applicable taxes, levies, duty & surcharge will be charged to the client.
9. Validity Of The Proposal
The above commercial proposal has been formulated in keeping with current market rates and trends, and thus will be valid for a period of one month only. If however the decision to finalize the contract exceeds the validity period, the rates submitted will be revised, other terms and conditions will remain unchanged.
10. Other Terms
- Black Lion Security cost excludes computers, net connectivity, printer. The above quote is based on present minimum wages, the prices will be revised automatically though upon minimum wages changes & DA declared by the government, difference will be paid by the Client.
- If this contract is continued for 1 years then the cost of gratuity to all those employees who will be eligible for the same will be borne by M/S If the employees work on National or Gazette Holidays, the same will be charged extra as per Govt. rules.
- Overtime / Extra Days will be charged on Pro-Rata Basis.
- All necessary Housekeeping cleaning chemicals, disposables, and tools will be provided by Black Lion Security on actual + 10% service charges.
- Client will take necessary AMC / insurance contract for all equipment/building on their own cost, however if requested by Client, Black Lion Security can facilitate these services at client cost.
- Appropriate lockable storage space for Tools, Tackles, Equipment, and Consumables shall be provided by the client.
- Change room & Wash room for all the contract staff for shall be provided by the client.
- Any other services/additional manpower other then quoted herewith, required would be facilitated after due approvals.
- The client shall provide water and electricity free of cost to Black Lion Security employees at the site to carry out their designated job.
- The client shall provide all ladders, Garbage Bin and Garbage Trolleys, electric extension cord etc. to Black Lion Security on its own cost.
- Any other services/additional labor other then quoted herewith, required would be facilitated after due approvals.
- Any other services like façade cleaning, Floor Polishing, Carpet/sofa/blind shampoo, toiletries, disposables, room amenities etc. required would be facilitated on mutually agreed rate + 20% Services charges after due approvals from client in writing.
- GST (Service Tax) (Currently @18%) as per prevailing rates is charged extra on services / service as applicable.
